Chinaward Education Platform Service Agreement

Version: 3.5

Last updated:

This Platform Service Agreement governs registration for and use of the free websites, app, mini programs, H5 pages and other digital services that display or incorporate it. It does not purchase a paid service or authorise Chinaward Education to submit an application. Paid application services are governed by a separate Application Service Agreement and order.

1 About this Agreement

This Agreement forms a binding agreement between you and CHINAWARD EDUCATION HOLDINGS LIMITED (Chinese name: 蒞華教育控股有限公司) of RM H11, 1/F, Kaiser Estate Phase 2, No. 51 Man Yue Street, Hung Hom, Hong Kong ("Chinaward Education", "Chinaward", "we", "us" or "our").

Hangzhou Chinaward Education Technology Co., Ltd. is our authorised service provider for technology development, marketing support, consultancy, university relationship support, customer service and related operations. It is not your contracting party and does not receive your service fees unless a separate written agreement expressly states otherwise.

Our Privacy Policy is a separate document explaining how we handle personal data. A separate Application Service Agreement and order govern any paid service. For a paid service, the Application Service Agreement and order prevail over this Agreement to the extent of a conflict concerning that service.

2 Acceptance

You accept this Agreement by actively selecting the acceptance box and completing registration. The box must not be pre-selected. If you do not agree, do not register or use an account.

Registration authorises us to use your name and contact details for essential account, identity-verification, security, transaction and active-service communications. Registration does not constitute a purchase, an application to a university, authority to submit your documents, consent to direct marketing, or any separate consent required for sensitive personal data or cross-border transfers. If the registration interface presents a separate, unticked direct-marketing choice, selecting that choice records the marketing choice described in the Privacy Policy; you may withdraw it at any time without charge.

3 Eligibility and minors

You must have legal capacity to accept these Terms. A child under 14 must not register, provide personal data or use an account. A person aged 14 to under 18 generally must not independently register, purchase a service or enter into a Service Agreement. Where applicable law permits and we agree to provide a service, a parent or legal guardian must complete our verification, consent and contracting process.

We may request reasonable evidence of eligibility and may refuse, restrict or close an account that does not meet these requirements.

4 Registration and account security

You must provide information that is truthful, accurate, complete and current. You must not impersonate another person, use data without authority, or create an account using false or forged information.

Your account is personal to you. You must protect passwords, verification codes and logged-in devices and must not sell, transfer, rent or improperly share your account. Notify us promptly at inquiry@chinawardeducation.ai if you suspect unauthorised access. You are responsible for activity you authorise and for avoidable loss caused by your failure to take reasonable security precautions. You are not responsible for unauthorised activity caused by our breach of duty or occurring after you have given us reasonable notice and assistance.

5 Free platform services

Free platform services may include general information, search and matching tools, preliminary assessments, account functions, learning tools and communications. Features may differ by country, device, language and time. A description of a planned or displayed service does not guarantee that it is currently available.

Unless a separate Service Agreement states otherwise, platform information and assessments are general and preliminary. They are not legal, immigration, medical, financial or other regulated professional advice and must not be treated as a final eligibility or admissions decision.

6 Information and third-party decisions

We use reasonable care when presenting information obtained from sources we reasonably consider reliable. University programmes, fees, scholarships, deadlines, admission rules, visa rules and other third-party information may change without notice. You must check the current official requirements before acting or incurring material expense.

Universities, scholarship bodies, examination providers, embassies, immigration authorities and other independent third parties control their own decisions and processing times. To the maximum extent permitted by law, we do not promise or guarantee admission, scholarship funding, an examination result, a visa or residence permission, a decision by a particular date, or the continued availability of any programme, policy or third-party service.

7 User information documents and conduct

You must ensure that information and materials you provide are authentic, accurate, complete, legible, lawfully obtained and authorised for the intended use. You must disclose material information requested for an assessment or application, meet notified deadlines, monitor your account and contact channels, and review important information before submission.

You must not upload false, forged, infringing, unlawful or malicious material; misuse another person's data; interfere with security or operation; scrape or reverse engineer the Services without written permission; resell the Services; harass any person; or use the Services for fraud or another unlawful purpose.

We may use document recognition, translation support, formatting, completeness checks, intelligent language tools and preliminary assessments. Where a third-party model or intelligent-processing service is actually enabled, the provider and relevant data practice will be disclosed under the Privacy Policy and current Third-Party Personal Data Sharing List. These tools can make mistakes and do not authenticate a document or guarantee acceptance. You must review material fields and final documents, and must not use the tools to invent qualifications, grades, experience or evidence. We may request clarification, suspend processing or reject material where we reasonably suspect fraud, forgery, identity misuse, illegality or a material discrepancy.

8 Application submission

Registration alone does not authorise us to submit information or documents to any institution. Submission authority must be granted in a Service Agreement or separate application authorisation. Before submission, the relevant process must allow you to identify the institution or recipient, programme, purpose and principal categories of information or documents to be submitted.

Once material has been delivered to an independent recipient, withdrawal of authority cannot reverse the delivery. We may provide reasonable assistance with a withdrawal or correction request, but the recipient controls its own review, retention and deletion.

9 Paid services

Paid services require a separate Service Agreement or order accepted by you. It will state the service scope, exclusions, service period, fees, currency, payment arrangements, third-party costs, cancellation and refund rules, application authority and any service-specific liability provisions.

Customer payments must be made only to (a) an account held in the name of CHINAWARD EDUCATION HOLDINGS LIMITED, or (b) another account or payment channel expressly authorised and designated by it in an official order, invoice or payment notice. Payment to any other account does not discharge your payment obligation unless the company confirms the payment in writing. Unless expressly included in a separate Service Agreement or order, our service fees do not include tuition, institution application fees, seat reservation or seat-confirmation fees, deposits, examination fees or other third-party charges. Those charges are governed by the recipient's rules and actual payment status.

10 Intellectual property and user materials

The Services, software, interfaces, branding, databases, assessments, learning content and original materials are owned by us or the relevant rights holder. We grant you a limited, personal, non-exclusive, non-transferable and revocable right to use available free Services for lawful, non-commercial purposes.

You retain applicable rights in material you lawfully provide. You grant us a limited licence to host, reproduce, format, review and otherwise process that material only as reasonably necessary to provide a service you request, maintain security, comply with law and resolve a dispute. These Terms do not authorise us to sell your application documents or use them to train a general-purpose model.

11 Suspension termination and account closure

We may take proportionate action, including verification, restriction, suspension or closure, where we reasonably believe that an account presents a security, fraud, legal, sanctions or material contractual risk; does not meet eligibility requirements; misuses payment dispute procedures; harms another person; or materially breaches these Terms. Where appropriate, we will provide notice and a reasonable opportunity to respond. We may act without advance notice where urgently required by law, security or the protection of users or third parties.

You may request account closure through the available process. Closure does not cancel an existing Service Agreement, payment, refund, application, complaint or dispute. Personal data will be handled under the Privacy Policy and applicable retention duties.

12 Disclaimers and limitation of liability

We will exercise reasonable care and skill in providing Services for which we are responsible. Subject to that obligation and to the maximum extent permitted by law:

1. free Services are provided on an "as available" basis, without a promise of uninterrupted, error-free or universally available operation;

2. we are not responsible for an independent third party's decision, delay, change, omission, system failure or act outside our reasonable control;

3. we are not responsible for loss caused by inaccurate, incomplete, late or unlawful information supplied by you, your failure to review a submission or notice, or unauthorised account use that you could reasonably have prevented;

4. we are not liable for indirect or consequential loss, loss of profit, business, reputation, data, opportunity or anticipated benefit, or travel, accommodation, translation, courier, banking, exchange-rate or other third-party cost, except to the extent such loss cannot lawfully be excluded; and

5. our aggregate liability arising from or relating to the free platform services will not exceed USD 100.

Liability relating to a paid service is governed by the applicable Service Agreement. Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any liability or consumer right that cannot lawfully be excluded or limited.

You must take reasonable steps to reduce avoidable loss and notify us promptly of a material service issue.

13 User indemnity

To the maximum extent permitted by law, you will reimburse us for reasonable, documented losses, liabilities, costs and third-party claims directly caused by your fraud, unlawful conduct, material breach of these Terms, submission of forged or unauthorised material, infringement of another person's rights, or misuse of another person's personal data. This obligation does not apply to the extent that the loss was caused or increased by our breach, negligence or failure to take reasonable mitigating steps.

14 App distribution and third-party platforms

14.1 General platform terms

If you obtain or use the app through Google Play, the Apple App Store or another distribution platform, you must also comply with the platform terms and applicable third-party terms, including your mobile network and device terms. The distribution platform is not responsible for our education, consultancy or application services. Platform review, availability, ranking, suspension or removal is controlled by the relevant platform and is not an admission, scholarship or service decision by us.

If you connect a Facebook, Instagram or other third-party account, you authorise the limited account connection and data exchange described in the Privacy Policy and the relevant consent screen. You must comply with the third party's terms. You may disconnect the integration through available settings, but disconnection does not automatically delete your Chinaward account or records that we lawfully retain. Account and data deletion requests are handled under the Privacy Policy.

14.2 Apple App Store terms

For an app licensed through the Apple App Store, you and we acknowledge and agree that:

1. this Agreement is between you and CHINAWARD EDUCATION HOLDINGS LIMITED, not Apple Inc. Apple is not responsible for the app or its content;

2. your licence is personal, limited, non-exclusive, non-transferable and permits use on Apple-branded products that you own or control, subject to the Apple Media Services Usage Rules and permitted Family Sharing, volume purchasing or Legacy Contact use;

3. we, not Apple, are responsible for maintenance and support required under this Agreement or applicable law, and Apple has no maintenance or support obligation;

4. we are responsible for warranties that cannot lawfully be excluded. If the app fails to conform to an applicable warranty, you may notify Apple and, where applicable, Apple may refund the purchase price paid for the app. To the maximum extent permitted by law, Apple has no other warranty obligation, and we are responsible for other claims, losses or costs attributable to the failure;

5. we, not Apple, are responsible for addressing claims relating to the app or your possession or use of it, including product-liability, legal or regulatory compliance, consumer-protection and privacy claims, subject to rights that cannot lawfully be limited;

6. if a third party claims that the app or your possession or use of it infringes intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging that claim;

7. you represent that you are not located in a region subject to a United States Government embargo or designated as supporting terrorism and are not listed on a United States Government prohibited or restricted party list;

8. questions, complaints and claims should be directed to CHINAWARD EDUCATION HOLDINGS LIMITED at the Hong Kong address and email stated below and the current support telephone number displayed in the App Store listing;

9. you must comply with applicable third-party agreements when using the app; and

10. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce these Apple-specific terms against you after you accept this Agreement.

If we do not submit this Agreement to Apple as a custom end-user licence agreement, Apple's standard Licensed Application End User License Agreement also applies to the licence obtained through the App Store. Mandatory consumer rights prevail over any inconsistent limitation.

15 Changes law language and contact

We may update these Terms for legal, security, operational or functional reasons. We will identify the updated date and give notice appropriate to the effect of a material change. A material change will apply prospectively. We will request renewed acceptance where required by law or where the change materially alters an existing paid commitment.

These Terms and any non-contractual obligation arising from them are governed by the laws of the Hong Kong Special Administrative Region. Subject to any mandatory right or forum that cannot lawfully be waived, the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction.

This Agreement is provided in English only. If any translation into another language is inconsistent with the English version, the English version prevails to the extent permitted by law.

If a provision is invalid or unenforceable, it will be adjusted or severed only to the extent necessary. The remaining provisions continue in effect. Our delay in enforcing a provision is not a waiver.
